OFFICIAL CONTEST RULES AND REGULATIONS

1. KEY DATES:

The Consumer Egg Masters Contest (the “Contest”) beings on April 8, 2024, at 12:00 a.m. Eastern Time (“ET”) and ends on May 17, 2024 at 11:59 p.m. ET (the “Contest Period”).

2. ELIGIBILITY TO ENTER:

The Contest is open only to residents of Ontario (Canada) who have reached the legal age of majority in their province/territory of residence at the time of entry, except employees, representatives and agents (and those with whom such persons are living, whether related or not) of Egg Farmers of Ontario (the “Sponsor”), its parent companies, subsidiaries, affiliates, distributors, prize suppliers, advertising/promotion agencies and any other individual(s), entity or entities involved in the development, production, implementation, administration or fulfilment of the Contest (collectively, the “Contest Parties”).

3. AGREEMENT TO BE LEGALLY BOUND BY RULES:

By participating in this Contest, you are signifying your agreement that you have read and agree to be legally bound by these Official Rules and Regulations (the “Rules”).

4. HOW TO ENTER:

NO PURCHASE NECESSARY. To enter: (i) visit a restaurant in Ontario participating in the Contest (a “Participating Restaurant” – a list of which is set out in Schedule A below); (ii) take a photo of an egg dish that you ordered from the Participating Restaurant (a “Photo”); (iii) visit www.eggmasters.ca (the “Website”) and follow the on-screen instructions to obtain the official Contest entry form (the “Entry Form”) and fully complete and submit the Entry Form with all required information, which will include a requirement to: (a) enter your full name, postal code, valid email address and telephone number; (b) upload your Photo; (c) provide a review of the egg dish that is the subject of your Photo (a “Review”); and (d) select the applicable Participating Restaurant at which you ordered the egg dish that is the subject of your Photo. When all of the foregoing steps of the entry process are complete, you will be eligible to earn one (1) entry (an “Entry”) in the Contest (which will be automatically allocated by the Sponsor to the applicable Participating Restaurant associated with your Entry).

Alternatively, to enter the Contest without ordering an egg dish from a Participating Restaurant, print your first name, last name, telephone number, complete mailing address (including postal code), valid email address, age and signature on a plain white piece of paper and mail it (in an envelope with sufficient Canadian postage) along with a 50 word or more unique and original handwritten essay on An Egg Dish You Would Love To Cook to: 60 Columbia Way suite 501, Markham, ON L3R 0C9 (collectively, a “Mail-in Request”). Upon receipt of your eligible Mail-in Request in accordance with these Rules (as determined by the Sponsor in its sole and absolute discretion), you will be eligible to earn one (1) Entry in the Contest (which will be automatically allocated by the Sponsor to the applicable Participating Restaurant that the Sponsor determines, in its sole and absolute discretion, to be the closest Participating Restaurant to your mailing address). To be eligible, your Mail-in Request must: (i) be received separately in an envelope bearing sufficient Canadian postage (i.e. multiple Mail-in Requests in the same envelope will be void); and (ii) be post-marked during the Contest Period and received prior to the Selection Date (defined below). The Sponsor takes no responsibility for any lost, stolen, delayed, illegible, damaged, misdirected, late or destroyed Mail-in Requests. Limit of one (1) Entry per Mail-in Request.

To be eligible, all content and materials associated with your Entry (regardless of the method of entry) (collectively, the “Entry Materials”) must: (i) be submitted and received in accordance with these Rules during the Contest Period; (ii) include all required components and materials noted above; (ii) must not have been previously submitted in the Contest (for certainty, any Photo, Review and essay is only permitted to be submitted one (1) time in the Contest); and, (iv) be in accordance with these Rules, including, but not limited to, the specific Participation Requirements listed below (all as determined by the Sponsor in its sole and absolute discretion). Standard data rates apply to participants who choose to participate in the Contest via a mobile device. Please contact your service provider for pricing and service plan information and rates before mobile device participation.

5. ENTRY LIMIT AND CONDITIONS:

There is a limit of two (2) Entries per person (regardless of the method of entry). If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to: (i) exceed any of the limits stated in these Rules; (ii) use multiple names, identities, e-mail addresses, and/or use any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or to disrupt the Contest; and/or (iii) disrupt or participate in the Contest in any other fraudulent or misleading way, then he/she may be disqualified from the Contest in the sole and absolute discretion of the Sponsor. The Contest Parties and each of their respective agents, employees, directors, officers, successors, and assigns (collectively, the “Released Parties”) are not responsible for, and accept no liability whatsoever in relation to, any late, lost, misdirected, delayed, incomplete or incompatible Photos, Reviews, Entry Forms, essays, Entries, Entry Materials and/or Mail-in Requests (collectively, “Contest-Related Information”), all of which are void.

An Entry may be rejected if, in the sole and absolute discretion of the Sponsor: (i) the Entry (including, but not limited to, any associated Entry Materials) is not submitted and received in accordance with these Rules during the Contest Period; and/or (ii) the Entry Materials accompanying the Entry are not in compliance with these Rules (including, but not limited to, the specific Participation Requirements listed below) all as determined by the Sponsor in its sole and absolute discretion.

6. VERIFICATION:

All Contest-Related Information and entrants are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an entrant’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Contest-Related Information and/or other information entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with the letter and spirit of these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification in the sole and absolute discretion of the Sponsor. The sole determinant of the time for the purposes of the Contest will be the official time-keeping device(s) used by the Sponsor.

7. PARTICIPATION REQUIREMENTS:

BY PARTICIPATING IN THIS CONTEST, YOU AGREE TO RELEASE THE RELEASED PARTIES FROM ANY AND ALL LIABILITY IN CONNECTION WITH THE CONTEST AND YOUR PARTICIPATION THEREIN AND TO INDEMNIFY THE RELEASED PARTIES AGAINST ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, COSTS, AND EXPENSES ARISING FROM YOUR PARTICIPATION IN THE CONTEST. BY PARTICIPATING IN THIS CONTEST, YOU ALSO AGREE THAT YOUR ENTRY (AND EACH INDIVIDUAL COMPONENT THEREOF – INCLUDING, WITHOUT LIMITATION, THE ENTRY MATERIALS) COMPLIES WITH ALL CONDITIONS STATED IN THESE RULES. THE RELEASED PARTIES WILL BEAR NO LIABILITY WHATSOEVER REGARDING: (I) THE USE OF YOUR ENTRY (OR ANY COMPONENT THEREOF – INCLUDING, WITHOUT LIMITATION, THE ENTRY MATERIALS); (II) PARTICIPATION IN ANY CONTEST-RELATED ACTIVITIES; (III) ANY USE, COLLECTION, STORAGE AND DISCLOSURE OF ANY PERSONAL INFORMATION; AND/OR (IV) IF DECLARED A WINNER, THE PRIZE (INCLUDING ANY USE OR MISUSE OF THE PRIZE). THE RELEASED PARTIES SHALL BE HELD HARMLESS BY YOU IN THE EVENT IT IS DISCOVERED THAT YOU HAVE DEPARTED FROM OR NOT OTHERWISE FULLY COMPLIED WITH ANY OF THESE RULES. THIS RELEASE AND INDEMNITY SHALL CONTINUE IN FORCE FOLLOWING THE TERMINATION OF THE CONTEST AND/OR AWARDING OF ANY PRIZE.

By participating in the Contest, each entrant hereby warrants and represents that any Contest-related Information he/she submits does not contain any reference to any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction of residence, and will not give rise to any claims whatsoever, including, without limitation, claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party.

By participating in the Contest, each entrant hereby warrants and represents that any Entry Materials he/she submits:

 

  1. containing any testimonials, statements or other comments made concerning Sponsor, any Participating Restaurant or any of their respective products and/or services reflect their true and honest opinion of and experience with such products and/or services;
  2. is/are original to him/her and that the entrant has obtained all necessary rights in and to the Entry Materials for the purposes of entering such Entry Materials in the Contest;
  3. does not violate any law, statute, ordinance or regulation;
  4. does not contain any reference to or likeness of any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction of residence;
  5. will not give rise to any claims whatsoever, including, without limitation, claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party; and
  6. is/are not defamatory, trade libelous, harmful (including, without limitation, harmful to the reputation of any Participating Restaurant and/or the Sponsor), pornographic or obscene, and further that it will not contain, depict, include, discuss or involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups (including, without limitation, any competitors of the Sponsor); that endorses, condones and/or discusses any illegal, inappropriate or risky behaviour or conduct; personal information of individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of the Sponsor and Participating Restaurants; any identifiable third party products, trade-marks, brands and/or logos, other than those of the Sponsor and Participating Restaurants; conduct or other activities in violation of these Rules; and/or any other materials that are or could be considered inappropriate, unsuitable or offensive, all as determined by the Sponsor in its sole and absolute discretion.

The Sponsor and/or its promotional agency or designated content moderator (the “Reviewer”) reserves the right to screen all Entry Materials. Any Entry Materials that the Reviewer deems, in its sole and absolute discretion, to violate the terms and conditions set forth in these Rules are subject to disqualification. The Reviewer reserves the right, in its sole and absolute discretion at any time and for any reason, to remove any Entry Materials (or any part thereof) and/or to request an entrant to modify, edit and/or re-submit his or her Entry Materials (or any part thereof – including without limitation, their Photo and/or Review) in order to ensure that the Entry Materials comply with these Rules, or for any other reason. If such an action is necessary at any point during or after the Contest, then the Sponsor reserves the right, in its sole discretion, to take whatever action it deems necessary based on the circumstances – including, without limitation, disqualifying the Entry Materials (and therefore the corresponding Entry and/or the associated entrant) – to help ensure that the Contest is being conducted in accordance with the letter and spirit of these Rules.

8. LICENSE:

By entering the Contest and submitting an Entry (regardless of the method of entry), each entrant: (i) grants all consents required and authorizes the Sponsor to publish, reproduce, and/or otherwise use their name, Review any other aspect of his/her likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner or medium whatsoever, including print, broadcast or the internet, worldwide and in perpetuity; (ii) grants to the Sponsor, in perpetuity, a worldwide, non-exclusive, irrevocable, royalty free and fully paid up license to publish, display, reproduce, modify, edit, make available, communicate to the public by telecommunication and otherwise use his/her Entry Materials (and each component thereof), in whole or in part, for advertising or promoting the Contest or for any other reason in any type of media (including, without limitation, uploading their Photo and Review to the Website and/or the Sponsor’s official social media channels); (iii) waives all moral rights in and to his/her Entry Materials (and each component thereof) in favour of the Sponsor (and anyone authorized by the Sponsor to use such Entry Materials); and (iv) agrees to release and hold harmless the Released Parties from and against any and all claims, damages, liabilities, costs, and expenses arising from use of his/her Entry Materials (or any component thereof), including, without limitation, any claim based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related or other cause of action whatsoever.

Each entrant hereby acknowledges and agrees that they shall have no right of approval, no claim to compensation or additional benefit, and no other claims (including, without limitation, claims based upon invasion of privacy, defamation, or right of publicity) arising, directly or indirectly, out of the use of their Entry Materials as set out herein.

9. PRIZES:

There are forty (40) prizes available to be won (one (1) prize is available per Participating Restaurant), each consisting of a $50 CAD gift card (to a grocery retailer selected at Sponsors sole and absolute discretion) (each, a “Prize”).

The following general conditions apply to each Prize: (i) Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by the Sponsor in its sole and absolute discretion); (ii) no substitutions are permitted, except at the Sponsor’s option; (iii) the Sponsor reserves the right to substitute the Prize in whole or in part in the event that all or any component of such Prize is unavailable with a prize or prize component(s) of equal or greater retail value, including, without limitation, but solely at the Sponsor’s sole discretion, a cash award; (iv) all characteristics and features of the Prize, except as otherwise explicitly stated above, are at the Sponsor’s sole and absolute discretion; (v) Prize winner is solely responsible for all costs not expressly described herein; and, (vi) gift cards are subject to all of the terms and conditions as stated by the applicable issuer.

None of the Released Parties makes any representation or offers any warranty, express or implied, as to the quality or fitness of any Prize awarded in connection with the Contest. To the fullest extent permitted by applicable law, each confirmed winner understands and acknowledges that he or she may not seek reimbursement or pursue any legal or equitable remedy from either the Sponsor or any of the other Released Parties should his/her Prize fail to be fit for its purpose or is in any way unsatisfactory. For greater certainty and the avoidance of any doubt, by accepting a Prize, a confirmed winner agrees to waive all recourse against the Sponsor and all of the other Released Parties if the Prize or a component thereof does not prove satisfactory, either in whole or in part.

Limit of one (1) Prize per person.

10. ELIGIBLE WINNER SELECTION PROCESS:

On May 24, 2024 (the “Selection Date”) in Markham, Ontario at approximately 12:00 p.m. ET, the Sponsor will perform a random draw from among all eligible Entries received and allocated to each Participating Restaurant in accordance with these Rules during the Contest Period select one (1) potential Prize winner per Participating Restaurant (forty (40) potential winners will be selected in total). The odds of winning depend on the number of eligible Entries received and allocated to a Participating Restaurant in accordance with these Rules during the Contest Period.

11. ELIGIBLE WINNER NOTIFICATION PROCESS:

The Sponsor or its designated representative will make a minimum of two (2) attempts to contact the potential winners within three (3) business days of the Selection Date via email. A potential winner is solely responsible for ensuring he/she is able to receive such notification messages, monitoring for such notification messages and following all instructions contained in such notification messages, failing which, he/she may be disqualified (as determined by the Sponsor at its sole discretion).

12. ELIGIBLE WINNER CONFIRMATION PROCESS:

NO ONE IS A WINNER UNLESS AND UNTIL THE SPONSOR OFFICIALLY CONFIRMS HIM/HER AS A WINNER IN ACCORDANCE WITH THESE RULES. BEFORE BEING DECLARED A CONFIRMED PRIZE WINNER, the potential winners will each be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by email or other electronic means, by telephone, or in the Sponsor’s form of declaration and release); and (b) sign and return within two (2) business days of notification the Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the Prize (as awarded); (iii) releases the Released Parties from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the Prize or any portion thereof; (iv) agrees to indemnify the Released Parties against any and all claims, damages, liabilities, costs, and expenses arising from use of his/her Contest-Related Information or any portion(s) thereof; and (v) agrees to the publication, reproduction and/or other use of his/her name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in perpetuity throughout the world in any manner or medium whatsoever, including print, broadcast or the internet.

If a potential winner: (a) cannot be contacted as set out set out above, or if there is a return of a notification as undeliverable; (b) fails to correctly answer the skill-testing question; (c) fails to return the properly executed Contest documents within the specified time; (d) cannot accept (or is unwilling to accept) a Prize (as awarded) for any reason; and/or (e) is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute discretion); then he/she will be disqualified (and will forfeit all rights to the applicable Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to select an alternate potential winner in accordance with the procedure outlined above, with the necessary amendments (in which case the foregoing provisions of this section shall apply to such newly selected potential winner).

13. GENERAL CONDITIONS:

This Contest is subject to all applicable federal, provincial/territorial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest, including without limitation the eligibility of entrants or any Contest-Related Information, are final and binding on all entrants without right of appeal.

ANYONE DEEMED BY THE SPONSOR TO BE IN VIOLATION OF THE SPONSOR’S INTERPRETATION OF THE LETTER AND/OR SPIRIT OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR AT ANY TIME.

All Contest-Related Information becomes the property of the Sponsor. The Released Parties will not be liable for: (i) any failure of the Website or any other any website or platform during the Contest; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Contest-Related Information, winner notification message and/or other information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the Internet or at any website; (iv) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in the Contest; (v) anyone being incorrectly and/or mistakenly identified as a winner or eligible winner; and/or (vi) any combination of the above.

The Sponsor reserves the right, in its sole and absolute discretion, to withdraw, amend or suspend the Contest (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of the Contest as contemplated by these Rules, including, without limitation, any error, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate operation of the Contest in any way (as determined by Sponsor in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right, in its sole and absolute discretion, to cancel, amend or suspend the Contest, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. The Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.

The Sponsor reserves the right, in its sole and absolute discretion, to adjust any of the dates, timeframes and/or other Contest mechanics stipulated in these Rules, to the extent deemed necessary by the Sponsor, for purposes of verifying compliance of any entrants, Contest-Related Information and/or other information with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

If due to printing, production, online, internet, computer or other error of any kind, more Prizes are claimed than intended to be distributed or awarded according to these Rules then, in addition to having the right to terminate the Contest immediately, the Sponsor reserves the right to conduct a random drawing from amongst all eligible Prize claimants whose claims have not yet been redeemed to award the correct number of Prizes (as stated in these Rules). The Prizes may stop being awarded in the event the Sponsor becomes aware of such an error. In no event will the Sponsor be liable to award more than the number of Prizes, as provided in these Rules.

By entering this Contest, each entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted only for the purpose of administering the Contest and in accordance with the Sponsor’s privacy policy (available at: http://www.eggfarmersofontario.ca/privacy-policy). This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to, the Website, point of sale, television, print or online advertising and/or any instructions or interpretations of these Rules given by any representative of the Sponsor, the terms and conditions of these Rules shall prevail, govern and control to the fullest extent permitted by law.

The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein.

To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of participants, the Sponsor or any of the other the Released Parties in connection with the Contest will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Rules or relating to the Contest.

OFFICIAL OPERATOR CONTEST RULES

1. KEY DATES:

The Operators Egg Masters Contest (the “Contest”) is sponsored by Egg Farmers of Ontario (the “Sponsor”). The Contest beings on April 8, 2024 at 12:00 a.m. Eastern Time (“ET”) and ends on May 17, 2024 at 11:59 p.m. ET (the “Contest Period”).

2. ELIGIBILITY:

Participation in the Contest is only open to restaurant operator businesses located in Ontario (Canada) (each, an “Operator”) that are the named and intended recipient of an invitation to participate in the Contest, as received directly from or on behalf of the Sponsor, and have agreed with the Sponsor to participate in the Contest. For certainty, individuals and entities that are not an Operator are not eligible to participate in the Contest. For certainty, an Operator refers only to the specific restaurant location that has been invited and has agreed to participate in the Contest.

Each Operator must designate an authorized representative (an “Authorized Representative”) to represent the Operator for the purposes of the Contest, and such Authorized Representative must be a legal resident of Ontario who has reached the legal age of majority in Ontario (eighteen (18) years of age or above). The Authorized Representative must be authorized during and after the Contest Period by the Operator to: (i) provide to Sponsor any and all required information that relates to the Operator for the purposes of administering the Contest in accordance with these Official Contest Rules (the “Rules”); and (ii) agree to be legally bound by these Rules on behalf of the Operator. An Operator can only designate one (1) Authorized Representative.

The Contest is in no way sponsored, endorsed or administered by, or associated with any third-party social media platform (each, a “Social Platform”). Each Social Platform is hereby completely released of all liability by each entrant in this Contest. Any questions, comments or complaints regarding the Contest must be directed to the Sponsor and not to a Social Platform.

3. HOW TO PARTICIPATE:

Consumer Participation: For each entry earned in the Sponsor’s Consumer Egg Masters Contest (the “Consumer Contest”) that is associated with the Operator, pursuant to the Consumer Contest’s Official Contest Rules (for full Consumer Contest rules and entry details, visit www.eggmasters.ca. the Operator will be deemed to have earned one (1) Consumer Contest point (a “Consumer Contest Point”) in this Contest, up to a maximum of twenty-five (25) total Consumer Contest Points in the Contest (regardless of the number of entries earned in the Consumer Contest). As a representative example, if ten (10) entries are earned in the Consumer Contest that are associated with the Operator, the Operator will earn ten (10) Consumer Contest Points in this Contest; if twenty five (25) or more entries are earned in the Consumer Contest that are associated with the Operator, the Operator will earn the maximum of twenty five (25) Consumer Contest Points in this Contest. IMPORTANT NOTE: During the Contest Period, a Contest website may be made available to the Operator by the Sponsor, displaying tracking data and/or other information regarding the Consumer Contest, determined by the Sponsor at its sole and absolute discretion based on its official records and data (the “Website”). All information displayed on the Website is subject to verification by the Sponsor in its sole and absolute discretion at any time and for any reason. The Website and display of information regarding the Consumer Contest is for general entertainment and information proposes only throughout the Contest Period and is not a final indicator of Consumer Contest Points earned or Prize recipients. Although Consumer Contest Points may appear on the Website or otherwise, this does not mean that an Operator associated with such Consumer Contest Points is or will be a confirmed Prize recipient. Only the Sponsor can deem an Operator to be a confirmed Prize recipient, which is subject to the applicable Prize recipient determination, confirmation and verification procedures below.

Promotional Set-up: Prior to the start of the Contest Period, the Sponsor will provide each Operator with a Contest kit (a “Contest Kit”), containing Contest display materials, Contest-related images, and other permitted Contest marketing materials for the Operator’s use in this Contest (for certainty, such materials are only permitted to be used during the Contest Period, in accordance with these Rules and any Sponsor instructions provided). Operators will be eligible to earn up to twenty-five (25) point(s) (the “Promotional Set-up Points”), as set out below, based on their use of the Contest Kit to create a promotional set-up at their restaurant location advertising the Consumer Contest and Contest (the “Promotional Set-up”). To be eligible, Operators must: (a) use the Contest Kit provided to create and display their Promotional Set-up during the Contest Period; and, (b) submit one (1) or more photos of their Promotional Set-up during the Contest Period to eggmasters@evolve.ca.

Social Media Support: Operators will be eligible to earn up to twenty-five (25) point(s) (the “Social Media Support Points”), as set out below, based on their use of the Contest Kit to advertise the Consumer Contest and Contest on their official social media channel(s) (the “Social Media Support”). To be eligible, Operators must use the Contest Kit provided for their Social Media Support during the Contest Period, in accordance with these Rules and any Sponsor instructions provided, and the Social Media Support content must be viewable by the public.

Additional Support: Operators will be eligible to earn up to twenty-five (25) point(s) (the “Additional Support Points”), as set out below, based on any other activities that the Operator engages in during the Contest Period, which support engagement with the Consumer Contest and/or Contest or otherwise promote the Sponsor (the “Additional Support”). To be eligible, Additional Support must take place during the Contest Period and must be in accordance with these Rules and any Sponsor instructions provided.

IMPORTANT NOTE: All Promotional Set-up, Social Media Support and Additional Support (collectively, “Participation Content”) that an Operator creates, publishes and otherwise uses must: (a) be in strict accordance with these Rules, including without limitation, the Participation Requirements set out below, and any Sponsor instructions provided; (b) include all required disclosure language provided in the Contest Kit within any materials that advertise or otherwise promote the Contests (including without limitation, the Consumer Contest “mini rules”, as applicable); (c) must not advertise or otherwise promote any false or misleading representations, including without limitation, any information about this Contest or the Consumer Contest that deviates from the applicable official rules; and, (d) must not violate any applicable laws (including without limitation, the Criminal Code and other applicable gaming legislation). Without limiting any other provision of these Rules, by participating in the Contest, each Operator and its Authorized Representative hereby acknowledge and agree that the Operator and its Authorized Representative are solely responsible for the Operator’s Participation Content in the Contest and agree to release the Released Parties from any and all liability in connection with their Participation Content and to indemnify the Released Parties against any and all claims, damages, liabilities, costs, and expenses arising from their Participation Content.

Mail-in Request: To participate in the Contest without Participation Content as set out above, the Authorized Representative of an Operator may print their full name, email address and signature, and their Operator’s name, mailing address and telephone number, on a plain white piece of paper and mail it (in an envelope with sufficient pre-paid postage) to 60 Columbia Way, Suite 501, Markham, ON L3R 0C9, along with: (a) a 50 word or more unique and original handwritten essay on the topic of Why the Operator wants to be crowned the 2024 Egg Master; and, (b) a statement indicating whether they are submitting a request for: (i) Promotional Set-up Points, (ii) Social Media Support Points, or (iii) Additional Support Points (a “Mail-in Request”). Upon receipt of a valid Mail-in Request in accordance with these Rules (as determined by the Sponsor in its sole and absolute discretion), the applicable Operator will be deemed to have earned five (5) Promotional Set-up Points, Social Media Support Points, or Additional Support Points in the Contest (attributed automatically by the Sponsor to the Operator’s Promotional Set-up, Social Media Support or Additional Support method of entry, based on the statement included in the Mail-in Request as set out above). If a Mail-in Request that is otherwise compliant with these Rules does not indicate the type of points requested, such Mail-in Request will automatically be allocated by the Sponsor as a request for Additional Support Points. To be eligible, Mail-in Requests must be post-marked during the Contest Period and received by no later than five (5) business days after the close of the Contest Period.

To be eligible, all content and materials associated with Participation Content and any Points received in the Contest (regardless of the method of entry) (collectively, the “Entry Materials”) must: (i) be submitted in accordance with these Rules during the Contest Period; (ii) include all required components and materials noted above; (iii) be in accordance with these Rules, including, but not limited to, the specific Participation Requirements listed below; and (iv) as applicable, be in accordance with the applicable terms, rules, policies and guidelines of the applicable Social Platform (the “Social Platform Rules”) (all as determined by the Sponsor in its sole and absolute discretion).

4. PARTICIPATION LIMITS AND CONDITIONS:

There is a limit of twenty-five (25) Consumer Contest Points, Promotional Set-up Points, Social Media Support Points and Additional Support Points (one hundred (100) Points in total) that may be received per Operator (regardless of the method of entry). Consumer Contest Points, Promotional Set-up Points, Social Media Support Points and Additional Support Points are collectively referred to as “Points”. If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any participant has attempted to: (i) exceed any of the limits stated in these Rules; (ii) use multiple names, multiple identities and/or any automated, macro, script, robotic or other system(s) or Contest(s) to enter or otherwise participate in or to disrupt the Contest; and/or (iii) disrupt or participate in the Contest in any other fraudulent or misleading way, then such participant may be disqualified from the Contest in the sole and absolute discretion of the Sponsor. The Sponsor, its respective representatives, agents, sponsors, parent companies, subsidiaries, affiliates, Prize suppliers, advertising/promotion agencies and any other individual(s), entity or entities involved in the development, production, implementation, administration or fulfillment of the Contest (collectively, the “Contest Parties”) and each of their respective agents, representatives, employees, directors, officers, successors, and assigns (collectively, the “Released Parties”) are not responsible for, and accept no liability whatsoever in relation to, any late, lost, stolen, misdirected, delayed, destroyed, incomplete, invalid, damaged, incompatible or otherwise impacted Website data, Contest Kits, Participation Content, Entry Materials, Consumer Contest entries, Points, Mail-in Requests and/or any other Contest-related information (collectively, “Contest-related Information”), all of which are void.
The Sponsor reserves the right, in its sole and absolute discretion, to take whatever measures or actions it deems necessary to help ensure that the Contest is administered in accordance with the letter and spirit of these Rules. ANY INDIVIDUAL OR ENTITY DEEMED BY THE SPONSOR AT ANY TIME TO BE IN VIOLATION OF THE LETTER AND SPIRIT OF THESE RULES FOR ANY REASON WHATSOEVER IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR.

5. VERIFICATION:

All Contest-related Information and Authorized Representatives are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (ii) for the purposes of verifying that the Authorized Representative meets the eligibility requirements set-forth in these Rules and is, in fact, a duly authorized representative of the Operator with the authority to legally bind the Operator; (iii) for the purposes of verifying the eligibility and/or legitimacy of any Contest-related Information and/or any other information for the purposes of this Contest; and/or (iv) for any other reason or reasons that the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with the letter and spirit of these Rules. Failure to provide any such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification in the sole and absolute discretion of the Sponsor. The sole determinant of the time for the purposes of the Contest will be the official time-keeping device(s) used by the Sponsor.

6. PARTICIPATION REQUIREMENTS:

BY PARTICIPATING IN THIS CONTEST, EACH OPERATOR AND AUTHORIZED REPRESENTATIVE AGREE TO RELEASE THE RELEASED PARTIES FROM ANY AND ALL LIABILITY IN CONNECTION WITH THE CONTEST AND THEIR PARTICIPATION THEREIN AND TO INDEMNIFY THE RELEASED PARTIES AGAINST ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, COSTS, AND EXPENSES ARISING FROM THEIR PARTICIPATION IN THE CONTEST. BY PARTICIPATING IN THIS CONTEST, EACH OPERATOR AND AUTHORIZED REPRESENTATIVE ALSO AGREE THAT THEIR PARTICIPATION (AND EACH INDIVIDUAL COMPONENT THEREOF – INCLUDING, WITHOUT LIMITATION, THE ENTRY MATERIALS) COMPLIES WITH ALL CONDITIONS STATED IN THESE RULES. THE RELEASED PARTIES WILL BEAR NO LIABILITY WHATSOEVER REGARDING: (I) THE USE OF ANY ENTRY MATERIALS; (II) PARTICIPATION IN ANY CONTEST-RELATED ACTIVITIES; (III) ANY USE, COLLECTION, STORAGE AND DISCLOSURE OF ANY PERSONAL INFORMATION; AND/OR (IV) IF DECLARED A WINNER, THE PRIZE (INCLUDING ANY USE OR MISUSE OF THE PRIZE). THE RELEASED PARTIES SHALL BE HELD HARMLESS BY EACH OPERATOR AND AUTHORIZE REPRESENTATIVE IN THE EVENT IT IS DISCOVERED THAT THE OPERATOR OR AUTHORIZE REPRESENTATIVE HAVE DEPARTED FROM OR NOT OTHERWISE FULLY COMPLIED WITH ANY OF THESE RULES AND/OR THE APPLICABLE SOCIAL PLATFORM RULES (AS APPLICABLE). THIS RELEASE AND INDEMNITY SHALL CONTINUE IN FORCE FOLLOWING THE TERMINATION OF THE CONTEST AND/OR AWARDING OF ANY PRIZE.

 

  1. is/are original to the Operator and Authorized Representative and that the Operator and Authorized Representative have obtained all necessary rights in and to the Entry Materials for the purposes of entering such Entry Materials in the Contest;
  2. does not violate any law, statute, ordinance or regulation;
  3. does not contain any reference to or likeness of any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction of residence;
  4. will not give rise to any claims whatsoever, including, without limitation, claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party; and
  5. is/are not defamatory, trade libelous, pornographic or obscene, and further that it will not contain, depict, include, discuss or involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups (including, without limitation, any competitors of the Sponsor); that endorses, condones and/or discusses any illegal, inappropriate or risky behaviour or conduct; personal information of individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of the Sponsor or Operator; any identifiable third party products, trade-marks, brands and/or logos, other than those of the Sponsor or Operator; conduct or other activities in violation of these Rules; and/or any other materials that are or could be considered inappropriate, unsuitable or offensive, all as determined by the Sponsor in its sole and absolute discretion.

 

The Sponsor and/or its promotional agency or designated content moderator (the “Reviewer”) reserves the right to screen all Entry Materials. Any Entry Materials that the Reviewer deems, in its sole and absolute discretion, to violate the terms and conditions set forth in these Rules are subject to disqualification. The Reviewer reserves the right, in its sole and absolute discretion at any time and for any reason, to remove any Entry Materials (or any part thereof) and/or to request an Operator and Authorized Representative modify, edit, remove, and/or re-submit their Entry Materials (or any part thereof) in order to ensure that the Entry Materials comply with these Rules, or for any other reason. If such an action is necessary at any point during or after the Contest, then the Sponsor reserves the right, in its sole discretion, to take whatever action it deems necessary based on the circumstances – including, without limitation, disqualifying the Entry Materials (and therefore the corresponding Points and/or the associated Operator and Authorize Representative) – to help ensure that the Contest is being conducted in accordance with the letter and spirit of these Rules.

By entering the Contest and submitting Entry Materials, each Operator and Authorized Representative: (i) without limiting the applicable Social Platform Rules, as applicable, grants to the Sponsor, in perpetuity, a worldwide, non-exclusive, license to publish, display, reproduce, modify, edit, make available, communicate to the public by telecommunication and otherwise use their Entry Materials (and each component thereof), in whole or in part, for advertising or promoting the Contest or for any other reason in any type of media; (ii) waives all moral rights in and to their Entry Materials (and each component thereof) in favour of the Sponsor (and anyone authorized by the Sponsor to use such Entry Materials); and (iii) agrees to release and hold harmless the Released Parties from and against any and all claims, damages, liabilities, costs, and expenses arising from use of their Entry Materials (or any component thereof), including, without limitation, any claim based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related or other cause of action whatsoever.

1. PRIZES:

There is one (1) Prize available to be received (the “Prize”). The Prize consists of: (i) a $500 cheque to the Operator; (ii) an Egg Master recognition plaque; and (iii) one (1) paid four (4) week social media ad, geo-targeted to the Operator’s applicable jurisdiction, promoting the Operator and the Operator’s winning of the Contest (the applicable Social Platform, ad content, timing and other specifics of the social media ad will be determined by the Sponsor in its sole and absolute discretion). The total approximate retail value of the Prize is $1,000 CAD.

The approximate retail value of the Prize noted above is current as of the time of preparing these Rules. Under no circumstances whatsoever will any difference between the actual retail value of the Prize as at the time of fulfillment or otherwise and the approximate retail value of the Prize noted above be awarded. Each Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by Sponsor in its sole and absolute discretion). No substitutions are permitted, except at Sponsor’s option. The Sponsor reserves the right to substitute any Prize in whole or in part in the event that all or any component of such Prize is unavailable with a Prize or Prize component(s) of equal or greater retail value, including, without limitation, but solely at the Sponsor’s sole discretion, a cash award. All characteristics and features of the Prize, except as otherwise explicitly stated above, are at the Sponsor’s sole and absolute discretion. Prize recipient is solely responsible for all costs not expressly described herein. Prize recipient is solely responsible for reporting and paying any tax that may be payable in connection with the Prize.

IMPORTANT NOTE: The Prize will be awarded to the confirmed winning Operator only. To be confirmed a winning Operator, the applicable Authorized Representative must complete the requirements in accordance with Rule 10 below in order to accept the Prize on behalf of the Operator. The Contest Parties will not involve themselves in, and the Released Parties accept no obligation or liability in respect of, any decision regarding the subsequent distribution, allocation, use or misuse of the Prize.

None of the Released Parties makes any representation or offers any warranty, express or implied, as to the quality or fitness of the Prize awarded in connection with the Contest. To the fullest extent permitted by applicable law, the confirmed recipient understands and acknowledges that they may not seek reimbursement or pursue any legal or equitable remedy from either the Sponsor or any of the other Released Parties should their Prize fail to be fit for its purpose or is in any way unsatisfactory. For greater certainty and the avoidance of any doubt, by accepting the Prize, the confirmed recipient agrees to waive all recourse against the Sponsor and all of the other Released Parties if the Prize or a component thereof does not prove satisfactory, either in whole or in part.

2. ELIGIBLE RECIPIENT SELECTION PROCESS:

After the end of the Contest Period, a panel of judges (the “Contest Judges”) appointed by the Sponsor at its sole and absolute discretion will judge and assign Points to each Operator Promotional Set-up, Social Media Support and Additional Support on the basis of the following weighted criteria (collectively, the “Judging Criteria”):

The Operator that obtains the highest number of total Points in the Contest (for certainty, based on their total Consumer Contest Points, Promotional Set-up Points, Social Media Support Points and Additional Support Points obtained in the Contest, regardless of the method of entry) will be selected as a potential Prize winner. The odds of winning depend on the number of Consumer Contest participants and the number and calibre (based on the Judging Criteria) of eligible Participation Content received. In the event of a tie between two or more Operators based on Points, the Operator – from amongst all such Operators that are tied – with the highest number of Promotional Set-up Points will be deemed to have obtained the higher Score (followed by the number of Social Media Support Points, Additional Support Points, then Consumer Contest Points, in the event of any further tie or ties). Judging is scheduled to be completed on or about May 24, 2024 (the “Selection Date”).

1. ELIGIBLE RECIPIENT NOTIFICATION PROCESS:

The Sponsor or its designated representative will make a minimum of two (2) attempts to contact the Authorized Representative of the potential Prize winner via email within two (2) business days of the Selection Date. If the potential recipient’s Authorized Representative cannot be contacted within two (2) business days of the first notification attempt, or if there is a return of any notification as undeliverable; then the applicable Operator may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to select an alternate potential winner in accordance with the procedure outlined above, with the necessary amendments (in which case the foregoing provisions of this section shall apply to such newly selected winner).

2. ELIGIBLE WINNER CONFIRMATION PROCESS:

NO ONE IS A WINNER UNLESS AND UNTIL THE SPONSOR OFFICIALLY CONFIRMS THE OPERATOR AS A WINNER IN ACCORDANCE WITH THESE RULES. BEFORE BEING DECLARED THE CONFIRMED PRIZE WINNER, the Authorized Representative of the potential winner will be required to sign and return, on behalf of the applicable Operator and on his/her own behalf, within two (2) business days of notification the Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the Prize (as awarded); (iii) releases the Released Parties from any and all liability in connection with this Contest, their participation therein and/or the awarding and use/misuse of the Prize or any portion thereof; and (iv) agrees to the publication, reproduction and/or other use of the Operator’s name, address, photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner or medium whatsoever, including print, broadcast or the internet, worldwide and in perpetuity.

If a winner or the Authorized Representative of a potential winner: (a) fails to return the properly executed Contest documents within the specified time; (b) cannot accept (or is unwilling to accept) the Prize (as awarded) for any reason; and/or (c) is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute discretion); then such potential recipient will be disqualified (and will forfeit all rights to the Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to select an alternate potential winner in accordance with the procedure outlined above, with the necessary amendments (in which case the foregoing provisions of this section shall apply to such newly selected winner).

3. GENERAL CONDITIONS:

All Contest-related Information becomes the property of the Sponsor. This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all participants without right of appeal. ANYONE DEEMED BY THE SPONSOR TO BE IN VIOLATION OF THE LETTER AND/OR SPIRIT OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR AT ANY TIME.

The Released Parties will not be liable for: (i) any failure of any information to be received in connection with the Contest; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Contest-related Information, and/or other information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the Internet or at any website; (iv) any injury or damage to an participant’s or any other person’s computer or other device related to or resulting from participating in the Contest; (v) anyone being incorrectly and/or mistakenly identified as an Prize recipient or eligible recipient; and/or (vi) any combination of the above.

The Sponsor reserves the right, in its sole and absolute discretion, to cancel, withdraw, amend or suspend the Contest (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of the Contest as contemplated by these Rules, including, without limitation, any error, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate operation of the Contest in any way (as determined by Sponsor in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right, in its sole and absolute discretion, to cancel, amend or suspend the Contest, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever.

The Sponsor reserves the right, in its sole and absolute discretion, to adjust any of the dates, timeframes and/or other Contest mechanics stipulated in these Rules, to the extent deemed necessary by Sponsor, for purposes of verifying compliance by any participant, Contest-related Information and/or other information with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

By participating in the Contest, each participant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted for the purpose of administering the Contest and in accordance with Sponsor’s privacy policy (available at: https://www.getcracking.ca/privacy-policy). This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

In the event of any discrepancy or inconsistency between the Rules and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to, point of sale, television, print or online advertising and/or any instructions or interpretations of these Rules given by any representative of the Sponsor, the Rules and conditions of these Rules shall prevail, govern and control to the fullest extent permitted by law.

The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with the Rules as if the invalid or illegal provision were not contained herein.

To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of participants, Sponsor or any of the other the Released Parties in connection with the Contest will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Rules or relating to the Contest.
